5.1 Legal Framework for Electronic Contracts
Pursuant to the Electronic Transactions Ordinance (Cap. 553) (“ETO”), electronic records and electronic signatures have the same legal status as their paper-based counterparts in Hong Kong. Contracts formed electronically on this website are fully valid and binding under Hong Kong law.
In accordance with the ETO and established Hong Kong case law on clickwrap contracts, a binding contract between Cell-R One Ltd and the buyer is formed when the buyer:

6.1 Pricing & Taxes

If Cell-R One Ltd operates any stored-value account functionality, it complies with the Payment Systems and Stored Value Facilities Ordinance (Cap. 584) and applicable Hong Kong Monetary Authority (HKMA) requirements.
6.3 Implied Terms – Sale of Goods Ordinance (Cap. 26)
To the extent applicable under Hong Kong law, the following terms are implied by the Sale of Goods Ordinance (Cap. 26) into every contract for the sale of goods by Cell-R One Ltd in the course of a business:
- Title: Cell-R One Ltd has the right to sell the goods (s.14 SGO)
- Description: Goods correspond to their description on the website (s.15 SGO)
- Satisfactory Quality: Goods are of satisfactory quality for their intended purpose (s.16 SGO)
- Fitness for Purpose: Goods are reasonably fit for the purpose made known to Cell-R One Ltd (s.16 SGO)
These statutory implied terms cannot be excluded in consumer contracts. In non-consumer contracts (B2B), exclusion is subject to reasonableness under the Control of Exemption Clauses Ordinance (Cap. 71).
6.4 Control of Exemption Clauses & Unconscionable Contracts
Any limitation or exclusion of liability by Cell-R One Ltd is subject to the reasonableness test under the Control of Exemption Clauses Ordinance (Cap. 71). Cell-R One Ltd will not seek to rely on any exclusion clause that is found to be unreasonable.
The Unconscionable Contracts Ordinance (Cap. 458) empowers Hong Kong courts to refuse to enforce, or to revise, unconscionable terms in consumer contracts for the sale of goods or supply of services.
6.5 Trade Descriptions & Unfair Trade Practices
Cell-R One Ltd strictly complies with the Trade Descriptions Ordinance (Cap. 362), as amended by the Trade Descriptions (Unfair Trade Practices) (Amendment) Ordinance 2012. Cell-R One Ltd expressly prohibits the following on this website:
- False trade descriptions of goods or services
- Misleading omissions of material information
- Aggressive commercial practices (harassment, coercion, undue influence)
- Bait advertising or bait-and-switch practices
- Wrongful acceptance of payment without intention or ability to supply

Cell-R One Ltd accepts no liability for customs delays, seizures or refusals resulting from failure to comply with destination country import regulations.
6.7 Returns, Refunds & After-Sales Service
Given the medical nature of the products, returns are accepted only in the following circumstances: products delivered damaged or defective (claim must be made within 7 days of receipt), incorrect products shipped by Cell-R One Ltd, as required by applicable consumer protection law.
To initiate a return, contact Cell-R One Ltd at contact@cell-r-one.com within the applicable timeframe, providing the order reference and photographic evidence of the defect.
Returned products must be unused, in original sealed packaging, with all documentation.
6.8 Limitation of Liability
Subject to the Control of Exemption Clauses Ordinance (Cap. 71) and applicable consumer protection law:
- Cell-R One Ltd's total liability shall not exceed the value of the order giving rise to the claim
- Cell-R One Ltd shall not be liable for indirect, consequential, special or punitive damages
- Cell-R One Ltd shall not be liable for loss of profit, loss of business or loss of opportunity
